Terms of Service

WizzX provides an AI-powered copilot platform that surfaces real-time answers from your knowledge base during live calls. The Services include our web application at wizzx.in and our desktop application for macOS, Windows, and Linux.

The Services are not designed to comply with industry-specific regulations such as HIPAA, FISMA, or similar frameworks. You are responsible for ensuring your use of WizzX complies with all regulations applicable to your industry and jurisdiction.

We own all intellectual property rights in and to the Services, including the website, desktop application, source code, designs, user interface, algorithms, and all related content. The WizzX name, logo, and marks are our trademarks.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your own lawful business purposes.

You may not copy, modify, distribute, sell, reverse engineer, or attempt to extract the source code of any part of the Services. Nothing in these Terms transfers any intellectual property rights to you.

By using the Services, you represent and warrant that:

• You are at least 18 years old.
• All registration information you provide is true, accurate, current, and complete.
• You will maintain the accuracy of such information and update it as necessary.
• You have the legal capacity to agree to these Terms.
• You will not access the Services through automated or non-human means unless explicitly permitted by us.
• Your use of the Services will not violate any applicable law or regulation.

You may be required to register to use certain parts of the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@wizzx.in if you suspect any unauthorized use of your account.

You may not use another person's account or share your account with others. We reserve the right to remove, reclaim, or change a username that we determine is inappropriate, obscene, or otherwise objectionable.

We offer the following subscription plans, priced in Indian Rupees (INR):

Payments are processed via Razorpay and Stripe. By providing payment information, you authorize us to charge the applicable fees.

Refund Policy. We offer a 7-day refund on your first subscription purchase if you are not satisfied with the Services. Refund requests after 7 days or for subsequent billing cycles will not be granted except as required by applicable law. To request a refund, contact us at support@wizzx.in.

Subscription Renewal. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel at any time from your account dashboard.

Price Changes.We reserve the right to modify pricing with at least 30 days' advance notice to subscribers.

You may not use the Services for any purpose other than that for which they are made available. In particular, you agree not to:

• Use the Services for any illegal, fraudulent, or deceptive purpose.
• Record or capture conversations without obtaining all legally required consents from all parties in the call, as required by applicable recording consent laws in your jurisdiction.
• Use WizzX to gain an unfair advantage in examinations, assessments, or any scenario where the use of AI assistance is prohibited.
• Violate any employer, institution, or platform policies by using WizzX in contexts where its use is not permitted.
• Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of any part of the Services.
• Use automated scripts, bots, or scraping tools to access or extract data from the Services.
• Upload, transmit, or distribute viruses, malware, or any other malicious code.
• Attempt to gain unauthorized access to any portion of the Services or its related systems.
• Harass, abuse, or harm another person through use of the Services.
• Misrepresent AI-generated content as entirely your own original work in contexts where that misrepresentation would be harmful or deceptive.
• Process classified, sensitive government, or confidential third-party information through the Services without authorization.
• Use the Services in a manner that could disable, overburden, or impair the infrastructure of the Services.

You may upload documents, playbooks, and other content to your WizzX knowledge base ("Your Content"). You retain all ownership rights in Your Content.

By uploading Your Content, you grant us a limited licence to process, store, and use it solely to provide the Services to you. We will not share or use Your Content for any other purpose, including AI training.

You are solely responsible for ensuring that Your Content:

• Does not violate any applicable law or regulation.
• Does not infringe any third-party intellectual property rights.
• Does not contain confidential information that you are not authorized to disclose.

We reserve the right to remove any content that violates these Terms or applicable law.

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.

Our Services are hosted and operated in India and may involve data processing in the United States and other countries where our service providers operate. By using the Services, you consent to the transfer of your information to these jurisdictions.

We reserve the right to:

• Monitor the Services for violations of these Terms.
• Take appropriate legal action against anyone who violates these Terms.
• Suspend or terminate a user's access if they are found to be in violation of these Terms or applicable law.
• Remove content that is deemed objectionable or in violation of these Terms.

These Terms remain in effect for as long as you use the Services.

We reserve the right to deny access to and use of the Services, in our sole discretion and without prior notice, for any reason — including violation of these Terms, suspected fraud, or conduct we determine to be harmful to other users or the Services.

Upon termination, your right to use the Services immediately ceases. You may request deletion of your account and associated data at any time. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) shall continue to apply.

We may modify, suspend, or discontinue all or part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

We do not guarantee that the Services will be available at all times and accept no liability for any downtime, outages, or interruptions caused by factors outside our reasonable control.

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts located in India.

Informal Resolution. Before initiating any formal legal proceeding, you agree to attempt to resolve disputes informally by contacting us at support@wizzx.in. We will attempt to resolve the dispute within 30 days.

Arbitration. If informal resolution fails, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, by a single arbitrator mutually agreed upon by the parties. The arbitration shall be conducted in English.

Exceptions. Claims involving intellectual property infringement, unauthorized access, or matters requiring urgent injunctive relief may be brought directly in the appropriate court.

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE AI FEATURES WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS WILL BE CORRECTED.

AI-generated content may be inaccurate or incomplete. You are solely responsible for verifying any information provided by WizzX before relying on it in a professional, legal, medical, financial, or other high-stakes context.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO WIZZX IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM, OR ₹1,000 (ONE THOUSAND RUPEES), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless WizzX and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Services;
• Your violation of these Terms;
• Your violation of any third-party rights, including intellectual property rights or privacy rights;
• Any content you upload or transmit through the Services; or
• Your violation of any applicable law.

By using the Services, you consent to receiving electronic communications from us, including notices, agreements, legally required disclosures, and other information. These electronic communications satisfy any legal requirement for written communication.

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information on the Services at any time without prior notice.

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date. If we make material changes, we will notify you by email or through a prominent notice in the Services. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
